These terms of use are entered into by and between You and ProbityCare Solutions LLC. ("Company," "we," or "us"). The following terms and conditions, together with any documents they expressly incorporate by reference ("Terms of Use"), govern your access to and use of www.probitycare.com, including any content, functionality, and services offered on or through www.probitycare.com (the "Website"), whether as a guest or a registered user.

By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated herein by reference. These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

The Company name and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. SMS Communications for Two-Step Authentication

By providing your mobile phone number and opting in, you agree to receive SMS messages for the purpose of two-step authentication. These messages are essential to accessing and securing your account. Standard text messaging rates may apply according to your service plan with your mobile carrier. You can opt out of receiving these messages at any time by adjusting your user settings or by following the opt-out instructions in the message. Opting out of SMS messages for two-step authentication may affect the security and functionality of your account.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website, or expose them to liability.

HIPAA

As part of the Service, ProbityCare may perform or assist in performing a function or activity on Client's behalf that involves the use and disclosure of Protected Health Information (as defined in 45 C.F.R. 164.501; hereinafter, "PHI"). The parties hereto shall use or disclose such PHI as required by the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), the Standards for Privacy of Individually Identifiable Health Information (the "Privacy Rule") and the Standards for Security of Electronic Protected Health Information (the "Security Rule") promulgated thereunder, and the Health Information Technology for Economic and Clinical Health Act (the "HITECH Act").

Telehealth Medical Services

ProbityCare is designed to facilitate Customer's delivery of Telehealth Medical Services. "Telehealth Medical Services" include, without limitation, the delivery of medical care by Customer to a patient physically located at another site through the use of advanced telecommunications technology that allows providers to remotely see and hear the patient in real time.

No Medical Advice Provided By ProbityCare

The Service does not provide medical advice, provide medical or diagnostic services, or prescribe medication. Use of the Service is not a substitute for the professional judgment of health care providers in diagnosing and treating patients. Customer agrees that it is solely responsible for verifying the accuracy of patient information, obtaining patient's consent to use the Service, and for all of its decisions or actions with respect to the medical care, treatment, and well-being of its patients. Customer assumes all risks associated with Customer's clinical use of the Service for the treatment of patients. Neither ProbityCare nor its licensors assume any liability or responsibility for damage or injury (including death) to Customer, a patient, other persons, or tangible property arising from any use of the Service.

Customer's Responsibilities

Customer is, and will remain, solely responsible for: (i) the provision of Telehealth Medical Services and all other professional medical services and aspects relating to Customer's practice of medicine; (ii) documenting the Telehealth Medical Services in Customer's clinical records; (iii) billing and collecting for Telehealth Medical Services; (iv) providing notice to and/or obtaining consent from any third-parties relating to the provision of Telehealth Medical Services; (v) ensuring the Service is used in accordance with applicable instructions and training materials; (vi) obtaining and maintaining both the functionality and security of all information technology necessary to access or use the Service; and (vii) complying with applicable laws, rules, regulations and standards imposed by government health care programs and other payors, licensing agencies and applicable accreditation bodies.

Business Associate Agreement

In connection with and by agreeing to these Terms, you and ProbityCare agree to be bound by the terms of a Business Associate Agreement. You (the "Covered Entity") hereby agree that you have read and agree to be bound by the terms of the Business Associate Agreement. ProbityCare (the "Business Associate") agrees to be bound by the terms of the Business Associate Agreement. The parties hereto each agree to perform their respective obligations as enumerated therein.

Fees and Payment

Customer must pay all fees as specified on the Customer Agreement and related services as incurred as specified on the Pricing Policy page. Unless otherwise stated in the Customer Agreement, invoiced charges are due upon receipt. Customer is responsible for providing complete and accurate billing and contact information to ProbityCare and notifying ProbityCare of any changes to such information. Customer must pay all fees (in US dollars) with a credit card or via ACH upon receipt of an invoice from ProbityCare. ProbityCare may suspend or terminate the Service if Customer has not paid amounts owed when due, following commercially reasonable efforts to send a minimum five-day (5-day) notice of payment default.

All fees may be changed with thirty (30) days advance email notice to Customer. Customer is responsible for keeping its updated email address on file with ProbityCare.

Disclaimer of Warranties

YOUR USE OF THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of New Jersey without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of New Jersey, in each case located in the City of Marlboro and County of Monmouth.

Entire Agreement

The Terms of Use and our Privacy Policy and End-User Licensing Agreement constitute the sole and entire agreement between you and ProbityCare Solutions LLC. regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
